Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of Hiprup, an institution-focused interview-preparation and assessment platform operated by Pixobase Solutions ("Pixobase", "Hiprup", "we", "us", or "our").
Please read these Terms carefully. By signing an Order, creating an organization account, accepting an invitation, or accessing Hiprup, you agree to these Terms. If you use Hiprup for an institution or other entity, you confirm that you have authority to bind that entity.
1. Who these Terms apply to
- Customer means the institution, company, training provider, or other entity that obtains access to Hiprup under an accepted quotation, order form, invoice, statement of work, master services agreement, or similar document (an "Order").
- Organization Administrator means a person authorized by the Customer to manage its Hiprup organization, users, batches, content, seats, and reports.
- Authorized User means an administrator, trainer, student, candidate, or other individual whom the Customer authorizes to use Hiprup.
The Customer is responsible for its Organization Administrators and Authorized Users and for ensuring that they comply with these Terms.
If an Order, data processing agreement, or other written agreement signed by Pixobase conflicts with these Terms, that signed agreement controls for the conflicting subject.
2. The Hiprup service
Depending on the Customer's Order and configuration, Hiprup may provide:
- technology-specific interview-preparation kits and question banks;
- coding-practice content and progress tracking;
- AI-assisted explanations and interview coaching;
- text or voice mock interviews, transcripts, reviews, and scores;
- camera-based proctoring signals and mock-interview integrity reports;
- institution dashboards, student progress and usage reports, batches, curricula, and seat management;
- institution-created questions, preparation kits, notes, and other content; and
- institution branding or a configured Hiprup subdomain.
Features, content, limits, and availability can differ by Customer, batch, user role, Order, or product release. Hiprup is an educational and practice service. It is not an examination board, recruitment agency, employment service, or guarantee of academic, interview, placement, or hiring outcomes.
3. Orders, service periods, and payment
Hiprup is currently offered to institutions through a sales-led process. The applicable Order sets out commercial details such as the number of seats, service period, usage allocations, fees, payment schedule, taxes, and any special terms.
Website prices or feature descriptions are general information and are not a binding offer. A purchase is complete only when Pixobase accepts the applicable Order or payment under it.
Unless an Order expressly says otherwise:
- fees are payable in advance and exclude applicable taxes;
- access begins when Pixobase provisions the organization or on the start date stated in the Order;
- access ends when the stated service period expires;
- an Order does not renew automatically; and
- Pixobase will not initiate recurring debits without the Customer's express authorization.
The Customer must provide accurate billing and tax information and pay undisputed invoices when due. Pixobase may suspend access for overdue amounts after giving reasonable notice, except where immediate action is required to prevent fraud or misuse.
4. Accounts and organization administration
Authorized Users must provide accurate account information, keep login credentials secure, and promptly report suspected unauthorized access. Accounts are personal to the named user and may not be shared, sold, or transferred.
Organization Administrators may, according to their permissions:
- invite, approve, activate, deactivate, or remove Authorized Users;
- assign users to batches and available curricula;
- manage Customer-created content and branding;
- review learning progress, mock-interview activity, transcripts, scores, usage, and proctoring reports; and
- appoint or remove other administrators.
The Customer decides who receives administrator access and is responsible for periodically reviewing those permissions. Actions taken through an administrator account are treated as authorized Customer actions unless the Customer has already notified us that the account is compromised.
An institution's decision to deactivate or remove a user may immediately end that user's institution-provided access. Questions about such decisions should ordinarily be directed to the institution.
5. Seats and usage allocations
Each active student account may occupy one seat. A released seat may be reassigned as permitted by the Order, but accounts, learning history, mock interviews, and credentials may not be transferred between individuals.
Orders may include limits on active seats, new activations during a period, AI features, voice mock interviews, storage, or other resources. These controls protect service quality and prevent seat cycling or misuse. Deactivating a user releases the active seat but does not necessarily restore a period-based activation or usage allowance.
The Customer may request additional seats or usage. Any increase is subject to written acceptance, applicable fees, and technical availability.
6. Customer responsibilities
The Customer must:
- authorize only eligible users and keep its organization and administrator information current;
- provide Authorized Users with legally required notices about Hiprup, administrator visibility, AI features, audio processing, and proctoring;
- obtain any consent or other legal authorization required for its use of Authorized User data;
- use reports, scores, transcripts, and proctoring signals fairly, lawfully, and with appropriate human review;
- ensure that its content and instructions do not infringe another person's rights or violate law; and
- configure batches, curricula, permissions, and retention instructions appropriately for its use case.
Hiprup is intended for users aged 18 or older. A Customer must not provision Hiprup to a minor unless Pixobase has agreed to that use in writing and the Customer has obtained verifiable parental or guardian consent and any other authorization required by law.
7. AI-assisted features
Hiprup uses third-party AI services to generate explanations, questions, conversational responses, transcripts, coaching, reviews, and scores. AI output can be incomplete, inaccurate, or unsuitable for a particular purpose.
Authorized Users and Customers must independently evaluate AI output. It must not be treated as professional advice, a definitive assessment of ability or integrity, or the sole basis for an academic, disciplinary, placement, employment, or other high-impact decision.
Prompts, answers, transcripts, and relevant context may be sent to our contracted AI provider to operate these features, as described in the Privacy Policy.
8. Camera, microphone, and proctoring
Proctored mock interviews require camera access. Hiprup processes webcam frames on the user's device to derive signals such as face presence, multiple-face detection, and attention or gaze indicators. Raw webcam video and frames are not uploaded to or stored by Hiprup. Hiprup receives and stores derived event data and summary metrics.
The user may be able to hide the local camera preview, but this does not stop proctoring while the proctored session continues. Hiprup does not use the feature for facial recognition or identity matching.
Voice features require microphone access. Depending on the selected mode and browser support, audio may be transmitted directly to our AI provider or temporarily uploaded for transcription. Hiprup retains the resulting text transcript and related mock-interview record; temporary audio is handled as described in the Privacy Policy.
Proctoring data is an imperfect coaching and review signal. Environmental conditions, device limitations, accessibility needs, and ordinary user behavior can affect it. The Customer must not present a proctoring signal as conclusive proof of misconduct and must provide appropriate human review and a way for the individual to explain relevant circumstances.
9. Acceptable use
You must not:
- break any law or infringe another person's privacy, intellectual property, confidentiality, or other rights;
- share accounts, circumvent seat or usage controls, or misrepresent a user's identity;
- scrape, bulk-download, republish, sell, or create a competing database from Hiprup content;
- reverse engineer or attempt to extract source code, models, system prompts, or non-public platform logic, except where law does not permit this restriction;
- introduce malware, probe security, disrupt the service, or access data or systems without authorization;
- use automated means that place an unreasonable load on the service;
- submit secrets, highly sensitive personal data, or third-party confidential information unless authorized and necessary for the Customer's approved use; or
- use Hiprup or its output to make a fully automated high-impact decision about a person.
We may investigate suspected misuse and restrict or suspend the affected account or organization when reasonably necessary.
10. Intellectual property
Hiprup, its software, design, branding, question banks, preparation content, and other materials supplied by Pixobase are owned by Pixobase or its licensors and are protected by applicable law.
During the applicable service period, Pixobase grants the Customer and its Authorized Users a limited, non-exclusive, non-transferable, revocable right to use the contracted features and content for the Customer's internal education, training, and interview-preparation purposes.
The Customer or Authorized User retains ownership of content they lawfully submit, such as institution-authored questions, notes, answers, and messages ("Customer Content"). They grant Pixobase a worldwide, non-exclusive license to host, copy, transmit, process, display, and adapt Customer Content only as reasonably necessary to operate, secure, support, and improve the contracted service.
The Customer confirms that it has all rights and permissions required for Customer Content. Feedback may be used by Pixobase without restriction or payment, provided we do not publicly identify the contributor without permission.
11. Privacy, confidentiality, and security
Our Privacy Policy explains how personal data is collected, used, shared, and retained.
Where Pixobase processes personal data on the Customer's documented instructions, the parties may enter into a separate data processing agreement. Each party must protect the other's non-public business, technical, and personal information using reasonable care and use it only for the agreed service, except where disclosure is authorized or required by law.
We use reasonable technical and organizational safeguards, but no online service is completely secure. Customers and Authorized Users must also use appropriate device security, access controls, and account practices.
12. Third-party services
Hiprup relies on service providers for authentication, AI processing, hosting, databases, temporary file storage, email, analytics, and payments. Their systems may occasionally affect feature availability. Their own terms may apply when an Authorized User directly interacts with them.
We remain responsible for selecting and managing providers as required by our agreements and applicable law, but we are not responsible for third-party products that a Customer independently connects to, purchases, or instructs us to use.
13. Availability and changes
We work to keep Hiprup available and accurate, but do not promise uninterrupted or error-free service. Maintenance, security incidents, internet or provider outages, and product improvements may affect access.
We may change or discontinue features to improve the service, address security or legal requirements, or reflect provider changes. For a material reduction to a paid core feature during an active service period, we will use reasonable efforts to provide notice and an appropriate alternative or remedy.
14. Suspension and termination
Pixobase may suspend or terminate access if:
- the Customer does not pay undisputed fees when due;
- a user or Customer materially breaches these Terms or an Order;
- continued access creates a security, legal, or operational risk; or
- suspension is required by law or a competent authority.
Where practical, we will provide notice and an opportunity to cure. We may act immediately for fraud, unlawful activity, security threats, or urgent harm.
Access normally ends when the Order expires or is terminated. Sections that by nature should survive—including payment obligations, intellectual property, confidentiality, disclaimers, liability limits, and dispute terms—will continue to apply.
Data export, retention, and deletion after termination are governed by the Order, any data processing agreement, the Privacy Policy, and applicable law. The Customer should retrieve required reports or content before access ends.
15. Disclaimers
To the maximum extent permitted by law, Hiprup is provided on an "as available" basis. Pixobase disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and the accuracy of AI-generated content.
Nothing in these Terms excludes a warranty, remedy, or right that cannot lawfully be excluded. No statement in marketing material creates a guarantee of interview performance, certification, placement, employment, or hiring.
16. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profit, revenue, goodwill, or anticipated savings.
Pixobase's total aggregate liability arising from the service or an Order will not exceed the fees paid or payable by the Customer for the affected service during the 12 months immediately before the event giving rise to the claim.
These limitations do not apply to liability that cannot lawfully be limited, or to fraud, wilful misconduct, breach of confidentiality, infringement or misappropriation of the other party's intellectual property, or a party's payment obligations.
17. Indemnity
The Customer will defend and indemnify Pixobase against third-party claims, losses, and reasonable costs arising from Customer Content, the Customer's unlawful instructions, its failure to obtain required permissions, or its or its Authorized Users' material breach of these Terms.
Pixobase will promptly notify the Customer of a covered claim and provide reasonable cooperation. The Customer may not settle a claim in a way that admits fault by or imposes obligations on Pixobase without our written consent.
18. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try in good faith to resolve a dispute through their authorized business contacts. If it is not resolved within 30 days after written notice, the competent courts having jurisdiction over Pixobase's principal place of business will have exclusive jurisdiction, unless an Order states otherwise or applicable law requires another forum.
19. Changes to these Terms
We may update these Terms to reflect product, legal, security, or business changes. We will post the revised version and update the date above. For material changes, we will provide reasonable notice through Hiprup, email, or the Customer's business contact. Continued use after the effective date constitutes acceptance, subject to any different change process in an Order.
